These Referral Program Terms & Conditions (the “Terms”) govern your participation in the Nice Shoes Referral Program (“Referral Program”) offered by Nice Shoes, LLC (“Nice Shoes,” “we,” “us,” or “our”). By participating in the Referral Program, you (“Referrer” or “you”) agree to comply with these Terms.

Eligibility
Referrer Eligibility:
Must be an individual who is a legal resident of the United States and at least 18 years old.
Employees of Nice Shoes and their immediate family members are not eligible to participate.
Conflict of Interest:
To ensure transparency and fairness, Referrers must avoid situations that could create a conflict of interest. This includes, but is not limited to:
- Recommending Nice Shoes to a company or client where the Referrer is currently employed, freelancing, or consulting, and has influence over the selection of vendors
- Referring a client for whom the Referrer is managing the budget or making purchasing decisions
- Failing to disclose the referral relationship to the Referred Client
If a Referrer has any professional involvement with the Referred Client, they must clearly disclose their intent to participate in the Referral Program and confirm that the Referred Client is aware of and approves the potential reward.
Nice Shoes reserves the right to disqualify any referral or withhold rewards if a conflict of interest is identified and not properly disclosed.
Referred Client Eligibility:
Must be a new client who has not completed a project with Nice Shoes in the past 12 months.
Referral Process
How to Refer:
Email your friend at Nice shoes or introductions@niceshoes.com to confirm we don’t know them already.
Send an email introducing Nice Shoes to the referred client and copy your friend at Nice Shoes or introductions@niceshoes.com. In this email, introduce both parties and briefly explain why you believe the client would benefit from our services. We’ll handle the conversation from there.
Required Information:
- Referrer’s full name and contact information
- Referred Client’s full name, company name, role/title, and contact information
- Any project details or context that could help us better understand the referral
Definition:
A “Qualified Referral” is a Referred Client who:
- Is introduced to Nice Shoes through the referral process outlined above.
- Signs a contract with Nice Shoes for services within 180 days of the referral.
- Completes the project and makes full payment to Nice Shoes.
Exclusions:
- Clients who have engaged with Nice Shoes within the last 12 months.
- Referrals where the Referrer has a financial or professional relationship with the Referred Client that creates a potential conflict of interest, unless fully disclosed and approved in writing by the Referred Client.
Referral Rewards
Reward Amount:
Referrer will receive 5% of the net revenue from the Referred Client’s completed project with Nice Shoes.
Payment Terms:
- Payment will be issued within 30 days after Nice Shoes receives full payment from the Referred Client.
- Payments are made via check.
- Referrer must submit a completed IRS W-9 form prior to payment issuance.
Taxes:
Referrers are responsible for any taxes associated with receiving the referral reward.
Nice Shoes will issue a Form 1099-MISC for rewards totaling $600 or more in a calendar year.
General Conditions
First-Referral Policy
Only the first referrer of a qualified client earns the reward if a project is secured within 180 days.
Unlimited Referrals
Refer as many clients as you wish; there’s no limit.
No Employment Relationship
Participating in this program does not make you an employee or agent of Nice Shoes.
Compliance and Ethical Conduct
No Spam or Unsolicited Communications:
Referrers must comply with all applicable laws, including anti-spam regulations.
Bulk emails, mass texting, or any form of unsolicited communication are prohibited.
Accurate Representation:
Referrers must not make false or misleading statements about Nice Shoes’ services.
All representations should align with official marketing materials provided by Nice Shoes.
Confidentiality:
Referrers must maintain the confidentiality of any non-public information shared by Nice Shoes or the Referred Client during the referral process.
Termination and Modification
Program Changes:
Nice Shoes reserves the right to modify or terminate the Referral Program or these Terms at any time without prior notice.
Limitation of Liability:
Nice Shoes is not responsible for lost, delayed, incomplete, or misdirected referrals.
In no event shall Nice Shoes be liable for any indirect, punitive, incidental, special, or consequential damages.
